Notice of the Second Meeting of the Second Session of the Board of Directors by Communication in Lieu of Meeting

All Vice Chairman/Director Level Members,

In accordance with Article 20 of the Articles of Association of the China Overseas Development Association with respect to the provision that the “Meetings of the Board of Directors (including the vice chairman/director level members) may be held by communication in lieu of meeting”, and in order to uphold the central government’s advocacy to streamline meetings and reduce meeting expenses, our Association has decided to hold the “Second Meeting of the Second Session of the Board of Directors” through the method of communication. We hereby set forth the following relevant information:

1. Time: 13-24 January 2014
2. Content: review of the Proposal for Change of the Name of the Association (now known as China Overseas Development Association), Association’s work report for the year 2012-2013 and collection of opinions about member services in 2014.
3. Agenda:
   1. January, issuance of the Notice to the Vice Chairman/Director Level Members;
   2. 13-24 January, the vice chairman/director level members to review the Proposal, and revert the voting and opinions about services to the Association via fax or email before 8 February;
   3. the Association to summarize the voting and opinions of the members, and publish the resolution and the new year work plan on the website of the Association before 25 February 2014.
4. All vice chairman/director level members please proactively exercise your duties, carefully review the Proposal and send back your voting opinions according to the relevant requirements.
